1. Parties and subject
Vardine provides independent sellers with technology for listing offers, receiving orders, payment processing, support and promotion. The seller sells in its own name and is responsible for lawful activity, accurate information, quality, completeness, timing and required documents. The terms are accepted by an explicit checkbox when applying and take effect after the seller is approved.
2. Registration and verification
The seller provides its valid legal name, public store name, contact details and, when requested, banking and tax information. Vardine may verify documents and refuse onboarding where information is false, fraud risk exists or the rules are not met. Access to orders is enabled after moderation; material changes to registration details must be reported promptly.
3. Listings and availability
The seller states the actual price, stock, size, composition, seasonal substitution rules, timing and delivery method. Mandatory charges must be disclosed in the buyer-facing price. Photos used without rights, false discounts and undisclosed substitution of the main product are prohibited. If fulfilment becomes impossible, the seller promptly notifies Vardine and assists with a lawful refund.
4. Processing speed and delivery
The seller chooses a realistic processing target of 10 hours, 3 hours, 1 hour, 20 minutes or 5 minutes. The seller states its working hours, service radius and delivery tariff, keeps its online status accurate and fulfils accepted orders. A faster level may affect commission and organic visibility when quality standards are met. Processing time is not the same as delivery time.
5. Funds and payouts
Order funds pass through the payment infrastructure designated by Vardine. Funds in progress, deductions, commission, acquiring costs, refunds and available balance are tracked separately. The seller may request a payout after fulfilment and once settlement conditions are met. Vardine may set off valid, substantiated claims and apply a reserve only to the extent and for the period justified by payment risk and the acquirer agreement. Account suspension does not confiscate amounts lawfully owed to the seller.
6. Refunds and evidence
The seller reviews quality and non-conformity complaints and provides photos of the finished product before handoff to the courier, along with other evidence of fulfilment. Refunds, chargebacks and redelivery costs are allocated according to the cause and documented costs; consumer rights are not restricted. Vardine keeps a history of listing changes, sanctions and evidence.
7. Ranking, promotions and advertising
Organic ranking may consider availability, speed, delivery, quality, ratings and cancellations. Purchased advertising affects only designated advertising placements and is labelled for buyers. Participation in a promotion requires disclosure of the actual price and who funds the discount. The Advertising Rules form part of these terms.
8. Seller content
The seller warrants that it has rights to its photos, videos, trademarks and descriptions and grants Vardine a free, non-exclusive licence to store, technically adapt, translate, display and promote the product and marketplace in the countries where Vardine is available. Ownership remains with the seller. Public store images, logos, covers, product photos and other media must not contain third-party watermarks, phone numbers, email addresses, URLs, QR codes, Telegram/WhatsApp/social-media contacts, addresses or other contact details that enable users to bypass the marketplace or infringe third-party rights. Before publication, Vardine may review, reject or hide the material or request proof of rights. Material may be removed after a rights-holder complaint or reasonable suspicion of infringement.
9. Moderation and sanctions
Vardine may correct formatting, remove duplicates, hide inaccurate details or unsafe links, request documents, unpublish a listing or restrict its visibility. Material product characteristics will not be changed without the seller’s consent. Immediate restriction without prior notice may be used for fraud, danger to users, unlawful goods, rights violations, payment risk, data leakage or a competent authority’s requirement. Measures take account of severity and repetition under the Sanctions Table; the seller may appeal.
10. Personal data
The seller receives only information needed for an order and uses it for preparation, delivery, order-related contact and legally required records. Sale, publication, disclosure to unrelated parties and independent marketing without a lawful basis are prohibited. The seller protects the data and promptly informs Vardine of any breach.
11. Liability
The seller compensates Vardine for documented direct losses caused by the seller’s culpable breach, including substantiated claims from buyers, rights holders and payment organisations; the seller is not responsible for a breach caused solely by Vardine. To the extent permitted by law, Vardine does not guarantee profit, traffic or uninterrupted service. Except for wilful misconduct, gross negligence and liability that cannot legally be limited, Vardine’s contractual liability to the seller over any 12-month period is capped at the greater of the commission received from that seller in the preceding three months or AMD 100,000.
12. Termination and changes
The seller may stop using the platform after fulfilling outstanding obligations. Vardine may terminate cooperation on notice; immediate suspension may apply to a material or repeated breach, fraud, security risk, unlawful conduct, rating manipulation or data leakage. Final settlement follows valid set-offs and any necessary reserve. Changes apply prospectively; material changes are announced in advance except for urgent legal or security measures.
13. Law and disputes
The laws of the Republic of Armenia apply. The parties will attempt to resolve disputes through a written complaint before applying to the courts of the Republic of Armenia. Nothing in these terms authorises Vardine to do anything prohibited by mandatory law; invalidity of one clause does not invalidate the remainder.
